Store Terms and Conditions
1. Introduction and Scope
These Store Terms and Conditions (“Terms”) govern the listing, purchase, sale, payment, fulfilment, shipping, returns and refunds of physical products offered through the online store operated by CIFRI LLC (“CIFRI,” “we,” “us” or “the Platform”).
The Platform enables independent creators, businesses and other approved sellers (“Sellers”) to list and sell physical products to customers (“Buyers”).
These Terms apply exclusively to the physical-product store. Any separate Creator Subscription Terms, digital content terms or other agreements applicable to the Platform remain in effect and are not replaced by these Terms.
By accessing the Store, placing an Order or listing or selling a Product through the Store, you agree to these Terms and any applicable policies incorporated into them.
If you do not agree to these Terms, you must not use the Store to buy or sell physical products.
2. Definitions
For purposes of these Terms:
Platform: The online store, website, seller dashboard and related services operated by CIFRI LLC.
CIFRI: CIFRI LLC, the company operating the Platform.
Seller: An independent creator, business or other approved person or entity listing Products for sale through the Store.
Buyer: A person or entity purchasing Products through the Store.
Product: A physical item offered for sale through the Store.
Order: A purchase transaction placed by a Buyer through the Store.
Product Price: The amount charged for the Product, excluding shipping charges and separately stated taxes or fees.
Shipping Charges: The amount charged to the Buyer at checkout for the applicable shipping service.
Shippo: The third-party shipping platform integrated with the Store to facilitate shipping-label generation and related shipping services.
Seller Dashboard: The account interface through which Sellers manage listings, Orders, shipping information and payout requests.
Payout: A payment of eligible Product-sale proceeds to a Seller after applicable deductions and adjustments.
3. Role of CIFRI and Independent Sellers
3.1. CIFRI provides the online infrastructure through which independent Sellers can list and sell physical Products.
3.2. Unless expressly stated otherwise, the Seller is the supplier of the Product and is responsible for its accuracy of description, quality, safety, legality, packaging and fulfilment.
3.3. CIFRI facilitates the online transaction, collects or processes checkout payments, administers shipping-label arrangements and processes eligible Seller payout requests.
3.4. CIFRI does not manufacture Products listed by independent Sellers and does not automatically inspect, certify or guarantee every Product.
3.5. Sellers operate independently and are not employees, partners or joint venturers of CIFRI merely because they use the Platform. Sellers are responsible for their own business operations, Products and applicable legal obligations.
3.6. The use of the Platform does not remove or reduce any statutory obligations that apply directly to CIFRI, a Seller or a Buyer.
3.7. The identity of the legal seller for a particular transaction, and the parties' respective obligations, will be determined by these Terms, the applicable listing and checkout disclosures, and applicable law.
4. Seller Registration and Eligibility
4.1. Sellers must maintain an active Platform account and satisfy applicable registration and verification requirements.
4.2. Sellers must provide accurate and current contact, business, tax, fulfilment and payout information as reasonably required by CIFRI.
4.3. Sellers must have the legal right to sell and distribute their Products in the relevant markets.
4.4. Sellers must comply with all laws applicable to their activities, including relevant product safety, consumer protection, labelling, tax, intellectual property, import and export requirements.
4.5. CIFRI may request additional identity, business, tax or product documentation where reasonably necessary for verification, fraud prevention or legal compliance.
4.6. Sellers must promptly update information that becomes inaccurate or incomplete.
4.7. CIFRI may refuse an application, remove a listing, restrict selling privileges or suspend an account where reasonably necessary to enforce these Terms, protect users or comply with applicable law.
5. Product Listings and Seller Obligations
5.1. Sellers are responsible for ensuring that all Product listings are accurate, complete and not misleading.
5.2. Listings must include, where applicable:
An accurate Product title and description.
The correct Product Price and currency.
Accurate photographs and representations of the Product.
Available quantities and stock status.
Relevant dimensions, weight, size, colour, materials and specifications.
Applicable ingredients, warnings, usage instructions and care information.
Required safety, origin, certification and regulatory disclosures.
5.3. Products must substantially correspond to their descriptions and images.
5.4. Sellers must maintain accurate stock information and promptly update or remove unavailable listings.
5.5. Sellers may not list counterfeit, stolen, illegal, recalled, unsafe, restricted or otherwise prohibited Products.
5.6. Sellers must not infringe intellectual property rights or make false or misleading claims about their Products.
5.7. Sellers are responsible for handling Product-related complaints, subject to CIFRI's dispute-resolution procedures and applicable law.
5.8. CIFRI may remove or restrict any listing that violates these Terms, applicable law or Platform policies.
6. Product Pricing, Commission and Checkout
6.1. Sellers determine their Product Prices, subject to applicable law and the Platform's requirements.
6.2. The Buyer must pay the Product Price, applicable Shipping Charges and any separately disclosed taxes or other charges shown at checkout.
6.3. The total amount payable must be displayed before the Buyer confirms the Order, subject to applicable law.
6.4. Sellers must not request undisclosed additional payments from Buyers for Orders placed through the Platform.
6.5. CIFRI charges commission on eligible Product sales in accordance with the applicable Seller agreement, subscription arrangement or published fee schedule.
6.6. The applicable commission rate and calculation method will be disclosed to Sellers before they are charged. Where commission rates vary by Seller or plan, the rate applicable to the Seller will be determined by the relevant agreement or fee schedule.
6.7. No commission is charged by CIFRI or the Seller on Shipping Charges under the standard Store shipping arrangement. Shipping Charges are collected for the shipping service and are not part of the Seller's Product-sale proceeds.
6.8. CIFRI may deduct its applicable Product commission and any other separately disclosed and authorised fees from eligible Product-sale proceeds before a Payout is made.
6.9. Sellers must honour the Product Price displayed when an Order is accepted, except where a correction or cancellation is permitted by these Terms and applicable law.
6.10. CIFRI may correct obvious pricing or listing errors and cancel affected Orders where permitted by law. If payment has been collected, CIFRI will arrange any refund required by applicable law.
7. Checkout Payments and Allocation of Funds
7.1. Buyers pay for Products and Shipping Charges through the checkout facilities provided by the Platform and its designated payment service provider.
7.2. CIFRI collects or administers checkout payments in accordance with its payment-processing arrangements.
7.3. The checkout payment may include the Product Price, Shipping Charges, applicable taxes and other disclosed charges.
7.4. Product-sale proceeds and Shipping Charges are treated as separate components of the transaction.
7.5. Product-sale proceeds are allocated to the Seller, subject to CIFRI's applicable commission, authorised deductions, refunds, chargebacks and other adjustments under these Terms.
7.6. Shipping Charges are collected to pay the applicable shipping costs. They are not payable to the Seller as Product-sale proceeds and do not attract a commission under the standard shipping arrangement.
7.7. CIFRI administers payment for shipping labels and related shipping costs through Shippo or the applicable shipping arrangement.
7.8. Shipping amounts may be reconciled against actual shipping charges, label adjustments, cancellations, refunds or other amounts charged by the shipping provider.
7.9. CIFRI may make reasonable adjustments to the relevant Order records and eligible Seller proceeds to account for refunds, payment reversals, chargebacks, agreed fees or shipping-related costs attributable to the Seller, where authorised by these Terms and permitted by law.
7.10. Payment processing is subject to the applicable payment provider's terms, verification requirements, transaction limits and service availability.
7.11. CIFRI does not guarantee uninterrupted payment processing or immediate availability of funds.
8. Seller Payouts
8.1. Sellers must request Payouts manually through the Seller Dashboard.
8.2. Only eligible Product-sale proceeds are available for Payout. Shipping Charges are excluded from Seller Payouts.
8.3. Before a Payout is made, CIFRI may deduct applicable Product commission, authorised fees, refunds, chargebacks, payment reversals and other permitted adjustments.
8.4. A Payout request may be subject to verification, payment processing, Order reconciliation and other reasonable checks.
8.5. CIFRI may temporarily delay or restrict a Payout where reasonably necessary to investigate suspected fraud, resolve a dispute, process a refund or chargeback, comply with law or address a restriction imposed by a payment provider.
8.6. CIFRI will process approved Payout requests according to the payout procedures and processing times communicated through the Seller Dashboard or applicable Seller policy.
8.7. Sellers are responsible for supplying accurate payout details and ensuring that their nominated account can receive payments.
8.8. CIFRI is not responsible for delays caused solely by incorrect Seller payment information, a Seller's financial institution or a third-party payment provider outside CIFRI's reasonable control.
8.9. CIFRI will not retain or withhold Seller funds contrary to applicable law or the binding terms of its payment-processing arrangements.
8.10. Where an Order is cancelled, refunded or disputed after a Payout has been requested or processed, CIFRI may make appropriate adjustments to available Seller proceeds or future Payouts, subject to applicable law.
9. Shipping Services and Shippo
9.1. CIFRI uses Shippo to facilitate shipping-label generation and related shipping arrangements.
9.2. Available carriers, shipping services, destinations and delivery options depend on the shipping services available through the integration.
9.3. Shipping Charges are displayed and paid by the Buyer at checkout.
9.4. CIFRI administers payment for the applicable shipping label and shipping costs through Shippo or the relevant shipping arrangement.
9.5. Neither CIFRI nor the Seller receives a commission on Shipping Charges under the standard Store arrangement.
9.6. Shipping estimates are not guaranteed delivery dates unless expressly stated otherwise.
9.7. Rates, carrier services, delivery estimates, shipping restrictions and label requirements may change.
9.8. Sellers must use the shipping label and shipping service provided or authorised through the Seller Dashboard unless CIFRI expressly approves an alternative.
9.9. Sellers must not change the shipping method, carrier or destination in a way that invalidates the label or compromises delivery without appropriate authorisation.
9.10. CIFRI may replace or update a label where reasonably necessary because of an address correction, carrier instruction, service change or other legitimate operational requirement.
10. Seller Packaging, Documentation and Dispatch
10.1. Sellers are responsible for packing their Products, preparing parcels and dispatching Orders.
10.2. Sellers must package Products securely and appropriately for the nature of the Product, expected transit conditions and requirements of the selected carrier.
10.3. Sellers are responsible for ensuring that actual parcel weight, dimensions, contents and other shipment details are accurately represented.
10.4. Sellers must access the relevant shipping label or waybill through the Seller Dashboard.
10.5. Before dispatch, Sellers must:
a. Attach the correct shipping label or waybill securely and visibly to the parcel.
b. Ensure the label corresponds to the correct Order and delivery destination.
c. Include, attach or electronically submit all required shipping, customs, commercial and regulatory documentation.
d. Ensure that the parcel complies with applicable packaging and carrier requirements.
e. Remove or cover old labels and barcodes that could interfere with delivery.
f. Follow any additional instructions displayed in the Seller Dashboard or supplied by CIFRI or the carrier.
10.6. For international Orders, Sellers must provide accurate customs descriptions, product values, country-of-origin details, tariff classifications and other required information, where applicable.
10.7. Sellers must not misdeclare Product values, origin or contents, or falsely describe commercial goods as gifts to evade customs duties or restrictions.
10.8. Sellers are responsible for ensuring that their Products may legally be shipped to the relevant destination.
10.9. Sellers must dispatch Orders within the fulfilment deadlines specified in the Seller Dashboard.
10.10. If a Seller cannot meet the displayed deadline, the Seller must notify CIFRI promptly and cooperate in resolving the delay.
10.11. Sellers must provide dispatch confirmation, proof of handover, photographs or other reasonable evidence when requested.
10.12. Sellers may be held responsible, to the extent permitted by law, for reasonable additional costs or losses resulting from incorrect packaging, inaccurate parcel information, missing documentation, mislabelling or failure to comply with shipping instructions.
10.13. Repeated failures to pack, document or dispatch Orders correctly may result in listing restrictions, suspension or termination of Store access.
11. Order Acceptance and Fulfilment
11.1. Orders are subject to successful payment authorisation and acceptance under the Store's order-processing procedures.
11.2. Sellers must monitor the Seller Dashboard and fulfil accepted Orders within the applicable deadlines.
11.3. Sellers must not knowingly accept Orders for unavailable Products or Products they cannot reasonably supply.
11.4. If a Product becomes unavailable after an Order is placed, the Seller must notify CIFRI promptly.
11.5. Sellers may not substitute a materially different Product, size, colour or quantity without the Buyer's consent where required.
11.6. CIFRI may cancel an Order where payment fails, the Product is unavailable, shipment cannot lawfully or reasonably be completed, fraud is suspected or cancellation is otherwise permitted by law.
11.7. Where payment has already been collected, CIFRI will arrange any refund required under these Terms or applicable law.
11.8. Sellers must not use the Store to circumvent the Platform's checkout or payment procedures for Orders initiated through the Platform.
12. Delivery, Tracking and Transit Risk
12.1. Sellers must hand parcels over to the designated carrier or arrange collection in accordance with the applicable shipping instructions.
12.2. Tracking information may be made available through the Platform or the carrier, where supported.
12.3. Sellers must cooperate with CIFRI and the carrier when investigating delayed, lost, damaged or misdelivered Orders.
12.4. Responsibility for loss or damage during transit will be determined by applicable law, the circumstances of the transaction, the applicable shipping service and any relevant carrier terms.
12.5. These Terms do not automatically transfer all transit risk to the Buyer when a parcel is handed to the carrier.
12.6. CIFRI does not guarantee that an independent carrier will deliver within a particular timeframe. This does not exclude any liability CIFRI may have under applicable law.
12.7. Buyers must provide accurate delivery details and any information reasonably required to complete delivery.
12.8. Where delivery fails because of an incorrect address, failure to collect a parcel or another issue attributable to the Buyer, additional costs may arise. Responsibility for those costs will be determined in accordance with applicable law and the Platform's published policies.
13. Returns, Cancellations and Refunds
13.1. CIFRI operates the central Store return and refund policy. Sellers must comply with that policy and cooperate with CIFRI in processing returns, cancellations, replacements and refunds.
13.2. The detailed return process, eligibility requirements, time limits, return shipping arrangements and refund procedures will be specified in the Platform's separate Return and Refund Policy, which forms part of these Terms when published and incorporated into the Store.
13.3. Buyers may be entitled to a refund, return, repair, replacement or other remedy where a Product is defective, damaged, materially different from its listing, not delivered or otherwise covered by applicable law or the Platform's policies.
13.4. CIFRI's return policy will not remove or reduce any mandatory consumer rights under applicable law.
13.5. Return requests must be submitted through the designated Platform support or return process. Sellers must not unreasonably obstruct a valid return or refund request.
13.6. CIFRI will assess requests in accordance with the applicable return policy, the evidence provided, the circumstances of the Order and applicable law.
13.7. Refunds will ordinarily be processed through the original payment method where reasonably possible and subject to payment-provider procedures.
13.8. Original Shipping Charges and return shipping costs will be handled according to the applicable return policy and law. Their treatment may depend on the reason for the return, whether the Product has been dispatched and whether delivery has occurred.
13.9. Shipping Charges are not automatically refundable solely because a Buyer changes their mind after dispatch. However, any refund required by law or the Platform's published policy must be provided.
13.10. Where a return or refund is approved, CIFRI may adjust the Seller's eligible proceeds or future Payouts to account for the relevant refund and permitted costs.
13.11. Sellers must not independently issue refunds or make payment arrangements that conflict with the Platform's records unless CIFRI authorises the arrangement.
13.12. CIFRI may require a Seller to reimburse the Platform for a refund or other adjustment attributable to the Seller's breach, defective Product, misrepresentation or failure to fulfil an Order, where permitted by law.
14. Lost, Damaged or Incorrect Orders
14.1. Buyers should report lost, damaged, incomplete or incorrect Orders through the Platform's designated support channel as soon as reasonably practicable.
14.2. CIFRI may request photographs, tracking details, delivery confirmation, packaging information or other reasonable evidence.
14.3. Sellers must cooperate with investigations and provide relevant evidence promptly.
14.4. Where appropriate, CIFRI may submit or coordinate a shipping claim through Shippo or the relevant carrier.
14.5. Carrier claims, shipping insurance and reimbursements are subject to the applicable service, coverage, exclusions, deadlines and evidence requirements. Compensation is not guaranteed.
14.6. Sellers must not promise insurance coverage or compensation that has not been confirmed for the shipment.
14.7. A carrier's refusal to compensate for a loss does not automatically eliminate a Buyer's statutory rights against the Seller or CIFRI.
15. International Shipping, Customs and Import Duties
15.1. The Store may support domestic and international Orders, subject to available shipping services, Seller eligibility, Product restrictions and applicable law.
15.2. Sellers must ensure that their Products may legally be exported from the dispatch country and imported into the destination country.
15.3. Sellers must provide accurate information and documentation required for customs clearance and comply with applicable export controls, sanctions and shipping regulations.
15.4. Buyers must provide any information reasonably required from them to complete delivery or customs clearance.
15.5. Unless expressly stated otherwise at checkout, import duties, customs fees and destination-country taxes may be payable by the Buyer.
15.6. CIFRI does not guarantee that a Product will be admitted into a destination country or that customs clearance will be completed within a particular timeframe.
15.7. Customs authorities may inspect, delay, assess charges on, return or confiscate shipments. The outcome will depend on applicable law and the circumstances of the shipment.
15.8. Sellers must not ship prohibited or restricted Products or knowingly provide false customs information.
15.9. If a shipment cannot be delivered because of a legal restriction, incomplete documentation or another shipping issue, CIFRI will review the circumstances and determine the appropriate next steps under its policies and applicable law.
16. Taxes and Legal Compliance
16.1. Sellers are responsible for their own tax, registration, licensing and reporting obligations, except where applicable law imposes an obligation directly on CIFRI.
16.2. CIFRI may calculate, collect, report or remit sales tax, value-added tax, goods and services tax or similar taxes where required by law.
16.3. Sellers must supply accurate Product, business and tax information reasonably required for tax calculations, reporting and legal compliance.
16.4. CIFRI may request tax forms, identity verification, business information or other documentation required by law or its service providers.
16.5. Sellers must comply with applicable Product safety, labelling, food safety, cosmetics, consumer protection and other regulatory requirements relevant to their Products.
16.6. Nothing in these Terms determines tax responsibilities where those responsibilities are imposed by mandatory law.
17. Prohibited Products and Activities
Sellers may not use the Store to offer:
Illegal, stolen or counterfeit goods.
Products that infringe another person's intellectual property rights.
Dangerous, recalled or improperly labelled Products.
Products prohibited by applicable law or the relevant shipping provider.
Products requiring licences or approvals that the Seller does not possess.
Products subject to export, import or sanctions restrictions that prevent lawful fulfilment.
Products intended to facilitate fraud or unlawful activity.
Any other Products prohibited by the Platform's published policies.
CIFRI may remove prohibited listings, cancel affected Orders and suspend or terminate accounts where appropriate. Any restriction on Seller funds will be subject to applicable law.
18. Intellectual Property
18.1. Sellers retain ownership of intellectual property rights they hold in their Products, branding, photographs, descriptions and submitted content.
18.2. Sellers grant CIFRI a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format and use their submitted Product content as reasonably necessary to operate, advertise and promote the Store, display listings and fulfil Orders.
18.3. This licence includes use of Product images, names, descriptions and Seller branding in the Store, search results, Platform promotional materials and social media content relating to the Store.
18.4. CIFRI does not acquire ownership of Seller intellectual property merely because it is displayed through the Platform.
18.5. Sellers warrant that they have the necessary rights and permissions to submit and authorise use of their content.
18.6. CIFRI may remove or restrict content in response to an infringement complaint, legal requirement or reasonable concern about unlawful use.
19. Buyer Responsibilities
19.1. Buyers must provide accurate account, payment and delivery information.
19.2. Buyers must use the Store lawfully and must not engage in fraud, payment abuse, manipulation of reviews or other misuse of the Platform.
19.3. Buyers must review Product descriptions, specifications, shipping details and the total checkout amount before placing an Order.
19.4. Buyers must not knowingly submit false claims to obtain refunds or chargebacks.
19.5. Buyers should contact CIFRI through the designated support process when they need assistance with an Order.
19.6. Nothing in these Terms restricts a Buyer's right to make a legitimate complaint, exercise statutory rights or dispute an unauthorised transaction.
20. Complaints, Reviews and Disputes
20.1. CIFRI may permit Buyers to submit Product reviews, ratings and feedback.
20.2. Reviews must be genuine and based on the reviewer's actual experience.
20.3. Users must not submit fake reviews, manipulate ratings, threaten others to influence feedback or publish unlawful content.
20.4. CIFRI may remove or restrict reviews that violate its policies or applicable law.
20.5. CIFRI may assist Buyers and Sellers in resolving Order disputes but does not guarantee that every dispute can be resolved informally.
20.6. Sellers must respond reasonably and promptly to legitimate Product complaints and cooperate with investigations.
20.7. Buyers and Sellers retain their rights under applicable law to pursue unresolved disputes through the appropriate channels.
21. Third-Party Services
21.1. The Store relies on third-party services, including Shippo, shipping carriers, payment processors, hosting providers and other technical service providers.
21.2. Such services may be subject to separate terms, availability restrictions, fees and operational limitations.
21.3. CIFRI does not control every aspect of third-party services and cannot guarantee their uninterrupted availability or performance.
21.4. CIFRI may change a third-party provider or shipping arrangement where reasonably necessary for operational, commercial, security or legal reasons.
21.5. This section does not exclude any mandatory rights or obligations under applicable law.
22. Suspension and Termination
22.1. CIFRI may suspend or terminate a Seller's Store access for material or repeated breaches of these Terms, unlawful activity, suspected fraud, serious Product complaints, prohibited Products or other reasonable grounds.
22.2. Where reasonably practicable, CIFRI will notify the Seller of the issue and allow an opportunity to resolve it. Immediate suspension may be necessary for security, legal compliance or protection of users.
22.3. Suspension or termination does not automatically cancel outstanding obligations relating to Orders, refunds, disputes, shipping, tax or other matters arising before termination.
22.4. CIFRI will address outstanding Orders, eligible Seller proceeds and required refunds in accordance with applicable law and its payout and refund procedures.
22.5. Sellers remain responsible for applicable legal obligations after their Store access ends.
23. Platform Availability and Changes
23.1. CIFRI aims to maintain the Store's availability but does not guarantee uninterrupted or error-free operation.
23.2. Maintenance, technical failures, security incidents and third-party service interruptions may temporarily affect Store functionality.
23.3. CIFRI may modify Store features, listing requirements, shipping arrangements and operational procedures.
23.4. Material changes to these Terms will be communicated through the Platform or another appropriate method where required by law.
23.5. Changes will take effect on the stated effective date and will not unlawfully remove rights that have already accrued.
24. Disclaimer of Warranties
24.1. To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis.
24.2. CIFRI does not warrant that every Product listing is accurate, every Seller will fulfil an Order successfully or every shipment will arrive by a particular date.
24.3. Sellers remain responsible for Product warranties, guarantees, descriptions and legal obligations applicable to their Products.
24.4. Nothing in these Terms excludes an express warranty given by CIFRI or any implied warranty or statutory protection that cannot lawfully be excluded.
25. Limitation of Liability
25.1. To the maximum extent permitted by applicable law, CIFRI will not be liable for indirect, incidental, special or consequential losses arising from the use of the Store, including loss of profits, revenue, business opportunity or anticipated savings.
25.2. CIFRI is not responsible for a Seller's acts or omissions, Product defects, inaccurate Product descriptions or failure to fulfil an Order, except to the extent liability arises from CIFRI's own conduct or is imposed on CIFRI by law.
25.3. CIFRI is not responsible for delays or failures caused by events outside its reasonable control, including carrier disruptions, customs inspections, natural disasters, governmental actions or payment-provider outages.
25.4. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury where exclusion is prohibited by law, or any other liability that cannot legally be excluded or limited.
25.5. All limitations of liability are subject to applicable consumer protection laws and the rights of Buyers and Sellers under those laws.
26. Seller Indemnification
26.1. To the extent permitted by law, Sellers agree to indemnify and hold harmless CIFRI and its officers, employees and agents against third-party claims, losses, liabilities and reasonable legal expenses arising directly from:
a. The Seller's material breach of these Terms.
b. The Seller's unlawful Products or violation of applicable Product safety requirements.
c. The Seller's infringement of another person's intellectual property rights.
d. The Seller's fraudulent, wilfully wrongful or negligent conduct.
e. The Seller's material misrepresentation of a Product or shipment.
26.2. This indemnity does not apply to the extent a claim results from CIFRI's own negligence, misconduct, breach of law or other conduct for which the Seller is not legally responsible.
26.3. CIFRI will provide reasonable notice of a claim for which indemnification is sought, subject to applicable legal or procedural requirements.
27. Privacy and Personal Information
27.1. CIFRI may process Buyer and Seller information to operate the Store, process Orders and payments, administer shipping, prevent fraud, provide support and comply with legal obligations.
27.2. Sellers may access Buyer information only to the extent reasonably necessary to fulfil Orders, arrange delivery and address legitimate Order-related issues.
27.3. Sellers must protect Buyer information and must not sell, misuse or unlawfully disclose it or use it for unrelated marketing without the required consent.
27.4. Sellers must comply with applicable privacy and data protection laws when handling information obtained through the Store.
27.5. Further details are set out in CIFRI's Privacy Policy.
28. Force Majeure
Neither CIFRI nor a Seller will be responsible for a failure or delay caused by circumstances beyond reasonable control, including natural disasters, war, civil unrest, governmental restrictions, epidemics, carrier interruptions or widespread technical outages.
The affected party must take reasonable steps to minimise the impact and resume performance as soon as reasonably practicable. This section does not excuse payment, refund or other obligations that cannot legally be suspended or avoided.
29. Governing Law and Jurisdiction
29.1. These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-law principles, except where mandatory law requires otherwise.
29.2. Subject to applicable law, disputes concerning these Terms may be brought before a competent court in Wyoming.
29.3. Nothing in this section prevents a consumer from exercising mandatory rights to bring a claim in their state or country of residence where applicable law grants that right.
30. General Provisions
30.1. Entire agreement. These Terms, together with applicable Store policies and other expressly applicable agreements, govern the physical-product Store.
30.2. Severability. If a provision is held invalid or unenforceable, the remaining provisions will continue in effect to the extent legally possible.
30.3. No waiver. Failure to enforce a provision does not waive the right to enforce it later.
30.4. Assignment. Sellers may not transfer their obligations under these Terms without CIFRI's consent, except where permitted by applicable law.
30.5. Independent relationship. Nothing in these Terms creates an employment, partnership, joint venture or agency relationship between CIFRI and a Seller merely because the Seller uses the Platform. This does not override a relationship imposed by law.
30.6. Electronic communications. Notices may be delivered through the Platform, Seller Dashboard or the email address associated with an account, subject to applicable law.
30.7. Survival. Provisions concerning outstanding payments, refunds, disputes, intellectual property, liability, indemnification, privacy and other obligations intended to continue will survive termination where appropriate.
